Terms of Service

1. Acceptance of Terms
By accessing or using the UniFlow platform, you agree to be bound by these Terms of Service. If you are using UniFlow on behalf of a business, you represent and warrant that you are authorized to bind that entity. These terms incorporate by reference Meta's WhatsApp Business Terms of Service and WhatsApp Business Messaging Policy, to which you are also bound.
2. Definitions
- "UniFlow" refers to the platform, a brand of Ezekr SARL, headquartered in Casablanca, Morocco.
- "Client" refers to the business subscribing to UniFlow's services.
- "End User" refers to the consumer the Client contacts via WhatsApp.
- "WABA" refers to the WhatsApp Business Account provisioned on behalf of the Client.
- "BSP" (Business Solution Provider) refers to UniFlow's role as a Meta-authorized intermediary.
- "Message Template" refers to pre-approved outbound message formats submitted to Meta for approval.
- "Customer Data" refers to all data Clients upload, import, or generate within the platform.
- "Conversation" refers to a 24-hour messaging window as defined by Meta's pricing model.
3. Description of Services
UniFlow is a Meta-authorized WhatsApp Business Solution Provider (BSP). Our services include: access to the WhatsApp Cloud API through UniFlow's infrastructure, WABA provisioning and management, message template submission and management, and platform features such as shared inbox, broadcast campaigns, analytics dashboard, and contact management.
UniFlow is NOT WhatsApp/Meta. We are an intermediary, and service availability depends on Meta's infrastructure and policies. We reserve the right to modify, update, or discontinue features with reasonable notice.
4. Account Registration and Business Verification
To create a UniFlow account, you must provide a valid business email, accurate company information, and legal business registration. A Meta Business Portfolio connection is required. Business verification through Meta (trade register, tax ID, etc.) is necessary to unlock messaging limits.
You are responsible for maintaining accurate account information and securing your login credentials. UniFlow reserves the right to suspend accounts with unverified or fraudulent information.
5. Subscription and Payment Terms
UniFlow's platform fees and WhatsApp conversation charges (billed by Meta) are separate line items. Billing is monthly or annual with automatic renewal. Prices exclude VAT; the Client is responsible for applicable taxes under Moroccan law.
Late payments may result in access suspension. Pricing changes will be communicated with 30 days' advance notice. Subscriptions are generally non-refundable unless otherwise specified.
6. WhatsApp Obligations and Acceptable Use
6.1 Compliance with Meta Policies
The Client must comply with WhatsApp Business Terms of Service, Business Messaging Policy, and all Meta policies. UniFlow reserves the right to suspend any WABA flagged by Meta for policy violations. Meta has ultimate authority over WABA suspension and termination.
6.2 Opt-In Requirements
Clients must obtain explicit, documented opt-in from each End User before initiating contact on WhatsApp. Opt-in must clearly state the business name and the types of messages the End User will receive. Clients must honor opt-out requests immediately.
6.3 Prohibited Uses
Clients must NOT use the platform to: send unsolicited messages (spam), promote illegal products, send harassing or discriminatory content, impersonate another business, collect data through deceptive means, or resell access to the WhatsApp API to third parties without UniFlow's written consent.
6.4 Message Quality
Meta assigns a Quality Rating to each WABA based on End User feedback. Sustained low Quality Ratings may result in messaging tier reductions or WABA suspension by Meta. The Client is responsible for maintaining message quality.
7. Data Ownership
The Client retains full ownership of all Customer Data. The Client grants UniFlow a limited license to process Customer Data solely to provide the Services. UniFlow will not sell, rent, or commercially exploit Customer Data. UniFlow may use aggregated, anonymized data for service improvement.
8. Intellectual Property
UniFlow owns all rights to the Platform, its code, interface, trademarks, and documentation. The Client receives a limited, non-exclusive, non-transferable, revocable license to use the Platform during the subscription period. The Client must not copy, reverse engineer, decompile, or attempt to access the source code. "WhatsApp" and related marks are trademarks of Meta Platforms Inc.
9. Warranties and Disclaimers
UniFlow warrants that the Platform will function materially as described. UniFlow disclaims all implied warranties. No warranty is given that the service will be uninterrupted, that Message Templates will be approved by Meta, or that WhatsApp/Meta infrastructure will be available. The service is provided "AS IS" and "AS AVAILABLE".
10. Limitation of Liability
UniFlow's total liability is capped at the fees paid by the Client in the 12 months preceding the claim. UniFlow excludes consequential, indirect, incidental, special, or punitive damages. UniFlow is not liable for Meta/WhatsApp outages, template rejections, WABA suspensions by Meta, or messages undelivered due to platform issues.
11. Indemnification
The Client agrees to indemnify and hold harmless UniFlow from claims arising from: the Client's violation of these Terms, violation of Meta's WhatsApp Business Policies, violation of applicable law (including data protection laws), and unlawful or non-consensual messaging to End Users.
12. Term and Termination
The agreement begins on account registration and continues for the subscription period with automatic renewal. The Client may terminate with written notice before the next billing cycle. UniFlow may immediately suspend access for: suspected policy violations, WABA flagged by Meta, non-payment, or suspected fraudulent activity. After termination, Client data is available for export for 30 days, then permanently deleted.
13. Governing Law
These Terms are governed by the laws of the Kingdom of Morocco (Moroccan Commercial Code, Law 09-08, and applicable regulations). The competent courts of Casablanca, Morocco have exclusive jurisdiction. The parties will attempt good-faith negotiation for 30 days before legal proceedings.
14. Changes to Terms
UniFlow reserves the right to modify these Terms at any time. Material changes will be notified by email and in-platform notification, with at least 30 days' advance notice. Continued use after the effective date constitutes acceptance.
15. General Provisions
These Terms constitute the entire agreement. If any clause is invalid under Moroccan law, the remainder stays in effect. Failure to enforce a right does not constitute permanent waiver. The Client cannot assign its rights without UniFlow's written consent. UniFlow is not liable for service failures due to force majeure events.
